{"id":1177,"date":"2012-01-24T04:24:14","date_gmt":"2012-01-24T06:24:14","guid":{"rendered":"http:\/\/alcantara.pro.br\/portal\/2012\/01\/24\/notas-explicativas-o-diabo-esta-nos-detalhes\/"},"modified":"2026-08-12T14:27:14","modified_gmt":"2026-08-12T14:27:14","slug":"notas-explicativas-o-diabo-esta-nos-detalhes","status":"publish","type":"post","link":"https:\/\/alcantara.pro.br\/portal\/2012\/01\/24\/notas-explicativas-o-diabo-esta-nos-detalhes\/","title":{"rendered":"Notas explicativas: o diabo est\u00e1 nos detalhes."},"content":{"rendered":"<p><span style=\"font-size: 14pt;\"><strong><a>Caso da Vale envolve IR sobre lucro no exterior<\/a><\/strong><\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"font-size: 14px;\"><span style=\"font-family: arial,helvetica,sans-serif;\"><a><em><strong>Se o diabo est\u00e1 nos detalhes, no mundo da contabilidade esses detalhes s\u00e3o dezenas de p\u00e1ginas de notas explicativas que acompanham os balan\u00e7os &#8211; e que muitas vezes passam despercebidas pelos investidores.<\/strong><\/em><\/a><\/span><\/span><\/p>\n<p>No calhama\u00e7o de 76 p\u00e1ginas referente aos dados do segundo trimestre de 2011, a Vale diz, na p\u00e1gina 39, que a eleva\u00e7\u00e3o das perdas poss\u00edveis em processos judiciais e administrativos &#8220;reflete a mudan\u00e7a do progn\u00f3stico de autua\u00e7\u00f5es pela autoridade fazend\u00e1ria brasileira&#8221; a respeito da incid\u00eancia de Imposto de Renda e Contribui\u00e7\u00e3o Social sobre Lucro L\u00edquido (CSLL) no ganho de controladas e coligadas no exterior, prevista no artigo 74 da Medida Provis\u00f3ria 2.158.<\/p>\n<p>A companhia disse que, com base &#8220;em jurisprud\u00eancias e estudos sobre a mat\u00e9ria, os consultores jur\u00eddicos [da companhia] alteraram a probabilidade de perda remota para poss\u00edvel&#8221;.<\/p>\n<p>O caso ganhou as p\u00e1ginas dos jornais no fim de novembro, depois que a Procuradoria Geral da Fazenda Nacional disse que a Vale poderia ter que pagar R$ 25 bilh\u00f5es por conta desse processo.<\/p>\n<p>Entre as dez maiores empresas por valor de mercado, outras quatro tamb\u00e9m informam disputa sobre cobran\u00e7a de IR e CSLL sobre lucro no exterior. S\u00e3o elas: Petrobras (R$ 1,97 bilh\u00e3o), Ambev (R$ 2,3 bilh\u00f5es), Ita\u00fa (R$ 483 milh\u00f5es) e BRF Brasil Foods (R$ 164 milh\u00f5es).<\/p>\n<p>Com exce\u00e7\u00e3o da Vale, as demais empresas n\u00e3o financeiras da amostra j\u00e1 classificavam como &#8220;poss\u00edvel&#8221; a perda nesses processos em dezembro de 2010.<\/p>\n<p>Em setembro, a Ambev reduziu a estimativa de perda poss\u00edvel nesse caso em R$ 700 milh\u00f5es (em dezembro, ela era de R$ 3 bilh\u00f5es) ap\u00f3s ter obtido uma decis\u00e3o favor\u00e1vel no Conselho Administrativo de Recursos Fiscais (Carf), para a qual n\u00e3o cabe recurso.<\/p>\n<p>J\u00e1 o Ita\u00fa \u00e9 o \u00fanico do grupo a ter provis\u00e3o constitu\u00edda para essa causa, por tratar a cobran\u00e7a como uma obriga\u00e7\u00e3o legal. Pela regra do Banco Central, se existe uma lei exigindo o pagamento de um tributo, mesmo que o banco considere que a chance de ganhar uma disputa judicial contra a cobran\u00e7a \u00e9 praticamente certa, ele \u00e9 obrigado a registrar a despesa referente a esse pagamento.<\/p>\n<p>No caso da Vale, a pr\u00f3pria companhia havia divulgado, em fato relevante no fim de mar\u00e7o, que teve uma decis\u00e3o desfavor\u00e1vel sobre a mat\u00e9ria no Tribunal Regional Federal da 2\u00aa Regi\u00e3o. Em novembro foi publicado o ac\u00f3rd\u00e3o sobre a referida decis\u00e3o, sendo que a Vale alegou que o tema ainda ser\u00e1 discutido no Superior Tribunal de Justi\u00e7a (STJ) e no Supremo Tribunal Federal (STF).<\/p>\n<p>Em agosto, o STF tratou de uma A\u00e7\u00e3o Direta de Inconstitucionalidade movida pela Confedera\u00e7\u00e3o Nacional da Ind\u00fastria (CNI) a respeito dessa cobran\u00e7a. Houve um racha no plen\u00e1rio, com cinco ministros votando para cada lado, mas com um voto favor\u00e1vel a mais para a Fazenda em rela\u00e7\u00e3o \u00e0 cobran\u00e7a de IR e CSLL sobre lucro de controladas (mas n\u00e3o de coligadas). Falta a manifesta\u00e7\u00e3o do ministro Joaquim Barbosa, que, segundo o Valor apurou, terminou seu voto em dezembro, o que permite a retomada do julgamento em fevereiro.<\/p>\n<p>&#8220;Mas seja qual for o resultado, ele n\u00e3o vai servir de base para solucionar todas as a\u00e7\u00f5es que tramitam sobre o tema, tanto no Judici\u00e1rio como no Carf&#8221;, diz Rodrigo Leporace Farret, advogado do Bichara, Barata, Costa &amp; Rocha Advogados.<\/p>\n<p>Segundo ele, os pr\u00f3prios ministros do STF j\u00e1 sinalizaram que o julgamento da Adin n\u00e3o esgota o tema.
